A Major Strategic Milestone

Modulex and PHP Ventures Acquisition Corp. will complete a business combination valuing Modulex at US$600 million, structured as a “target-on-top” merger with Modulex becoming the parent NASDAQ-listed entity. PHP may raise up to US$200 million in PIPE or other financing on a best-efforts basis.
Ownership
Post-transaction ownership is projected as:
- 79.91% Modulex shareholders
- 1.13% PHP public shareholders
- 2.39% PHP sponsor shareholders
- 14.58% new investors
- 1.99% FA Equity
All transaction shares issued to Modulex shareholders will be under a 2–3 year lock-up, supporting price stability.
